1. Definitions

1.1. “Statily” refers to the time tracking software company.

1.2. “Service” refers to the Statily service, including the software, website, and related features.

1.3. “User” refers to any individual or entity accessing or using the Statily service.

1.4. “Account” refers to a user’s personal account within the Statily service.

1.5. “Data” refers to any information, content, or materials provided or collected through the Statily service.

2. License for Use of the Service

2.1. Subject to adherence to these terms and conditions, Statily grants the user a limited, non-exclusive, non-transferable license to access and use the service.

2.2. The user is in charge of protecting the privacy and security of their account login information. The user agrees to report any unauthorized use of their account to Statily right away.

2.3. To confirm the user’s identity and guard against unauthorized access to the service, Statily reserves the right to implement identity authentication measures.

3. Installation, Customization, and Updates

3.1. To use the service, the user might need to install the Statily software or modify a few settings.

3.2. The user is in charge of making sure their system satisfies the necessary requirements for using the service.

3.3. Statily may release new versions, updates, or improvements to the service. It is advised that users keep their software up to date so they can take advantage of the newest additions and improvements.

4. Term and Fees

4.1. Upon acceptance of these terms and conditions by the user, the agreement between the user and Statily will begin and last until it is terminated.

4.2. If there are any fees associated with using and accessing the service, the user agrees to pay them. The user will receive a clear explanation of any fees or payment requirements.

5. Termination

5.1. The agreement may be terminated at any time, with or without cause, by either Statily or the user giving the other party notice.

5.2. The user’s access to the Service will end upon termination, and they must stop using it altogether.

5.3. Termination of the agreement does not relieve the user of any payment obligations incurred prior to termination.

6. Proprietary Nature of the Service

6.1. The service is and will always be Statily’s sole property, along with all associated software, websites, and intellectual property rights.

6.2. Statily reserves all rights not specifically granted to the user.

7. Consent to Use of Data

7.1. The user agrees that Statily may collect, use, and process their data in accordance with applicable privacy laws and regulations by using the Service.

8. Content and Linking to Other Websites

8.1. When creating content for the Service, the user affirms to comply with all rules and laws that may be in effect.

8.2. The user acknowledges that any content they upload, publish, or share via the Service is solely their responsibility.

8.3. The user agrees not to post or link to any malicious, offensive, or unlawful content or websites.

9. User Content

9.1. The user retains ownership of any content they upload, publish, or share through the service.

9.2. The user grants Statily a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to use, reproduce, modify, adapt, distribute, display, and perform the content in connection with offering and promoting the service by uploading, publishing, or sharing content through the service.

9.3. The user represents and warrants that their content does not violate the rights of any third parties and that they have all necessary authorizations to grant Statily the aforementioned licence.

10. Data Deletion Policy

10.1 Free User Account Deletion
If a free user does not engage in any activity on Desklog for 3 months, the recorded data shall be deleted. However, users can reactivate their account at any time. It should be noted that upon reactivation, only profile information will be available, and any previous insights or data will not be retained.

10.2 Paid User Account Deletion
If a paid user account is expired and does not engage in any activity on Desklog for 6 months, the recorded data shall be deleted. However, users can reactivate their account at any time. It should be noted that upon reactivation, only profile information will be available, and any previous insights or data will not be retained.

11. Intellectual Property Rights

11.1. Statily respects the rights to intellectual property and expects that users will do the same.

11.2. The service may display trademarks, logos, and service marks owned by Statily or other parties. Users are not allowed to use them without the owners’ prior written consent.

11.4. Users must include enough details to identify the allegedly infringing content, the trademarked work, and the user’s contact information.

12. Limitation of Liability

12.1. If you use or are unable to use the service, Statily is not responsible for any direct, indirect, incidental, consequential, or special damages.

12.2. The user acknowledges and agrees that they use the Service at their own risk.

13. Governing Law and Jurisdiction

13.1. These terms and conditions shall be governed by and construed in accordance with the laws of India.

13.2. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of India.

14. Severability

14.1. If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

15. Entire Agreement

15.1. These Terms and Conditions constitute the entire agreement between the user and Statily, superseding any prior or contemporaneous communications and proposals, whether oral or written, relating to the Service.

16. Disclaimer of Warranty

16.1. The Statily service is provided “as is” and without warranties of any kind, whether express or implied.

16.2. Statily disclaims all warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16.3. Statily does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects or issues will be corrected.

16.4. The user acknowledges that their use of the Service is at their own risk.

17. Privacy and Cybersecurity Indemnification

17.1. The user agrees to indemnify, defend, and hold harmless Statily and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with any privacy or cybersecurity breaches resulting from their actions, negligence, or failure to comply with these Terms and Conditions.

18. Limitation of Liability

18.1. To the maximum extent permitted by applicable law, Statily shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or inability to use the Service.

18.2. Statily’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by the user, if any, for accessing and using the Service.

19. Consent to Electronic Communications

19.1. By using the Service, the user consents to receive communications, notices, and information electronically from Statily.

19.2. The user agrees that electronic communications satisfy any legal requirement for written communications.

19.3. The user may opt out of receiving certain communications by following the instructions provided in the communication or by contacting Statily’s customer support.

20. International Users Consent to Cross-Border Transfers of Personal Data

20.1. If the user is accessing the Service from a country outside the country where Statily is located, the user consents to the transfer of their personal data to Statily’s servers, which may be located in different countries.

20.2. Statily will handle the user’s personal data in accordance with its Privacy Policy and applicable data protection laws.

21. No Rights Granted

21.1. These Terms and Conditions do not grant the user any rights or licenses in or to the Service, except for the limited license to use the Service as expressly stated.

21.2. The user may not assign or transfer their rights or obligations under these Terms and Conditions without the prior written consent of Statily.

22. Suggestions and Feedback

22.1. Any suggestions, feedback, or ideas provided by the user to improve the Statily service may be used by Statily without any obligation to the user or any compensation.

23. Refund Policy

23.1. Statily’s refund policy, if applicable, shall be communicated separately to the user. The policy may specify conditions, limitations, and procedures for requesting a refund.
